MO-Call End-user Software License Agreement
This Software License Agreement is between you and Morodo Limited (Morodo) and applies to the installation and use only of a Morodo Software product. By accepting this agreement you are bound by the Terms and Conditions of this agreement.
This Software Licence Agreement governs the installing and use of a Morodo MO-Call software product (the Software) and contains the following terms:

1. All intellectual property rights including, without limitation, patents, copyright, registered designs, design rights, trademarks, mask works, topography rights, know-how and all other similarly protected rights (the"IPR's") in the Software shall at all times remain vested in Morodo or its licensors and such Software shall not be copied, reproduced or used for any purpose other than as specified below. |

2. All Software is supplied by Morodo under Licence and Morodo grants to the User a non-exclusive, non-transferable licence ("the Licence") to use the Software and the License extends to any correction supplied by Morodo for the Software. |

3. Except to the extent that such operations cannot be prevented or restricted by law, the User is not permitted to modify, reverse engineer or decompile the Software in any way whatsoever. |

4. Morodo does not warrant that the software is completely error free nor that the software will operate without interruption. |

5. Notwithstanding anything to the contrary in this Agreement (whether this Agreement continues in force or not) Morodo shall not be liable to the User for any corruption, destruction or loss of data, loss of goodwill, loss of anticipated savings, loss of contracts, loss of revenue, loss of use, loss of profits, loss of business, for any extra operating costs and expenses or for any indirect or consequential loss whatsoever or howsoever caused, whether arising in Tort, from its negligence, its breach of contract, or its breach of statutory duty, under any indemnity or howsoever caused. |

6. The total of Morodo's liabilities arising under or in connection with this Agreement (whether arising from its negligence or from breach of contract or howsoever) shall not exceed £5.00 (five pounds only) or the sum paid or payable by the end-user for the Product in respect of which the liability arises, whichever is the lesser. |

7. Nothing in this Agreement shall have the effect of excluding or limiting the liability of Morodo for death or personal injury resulting from its negligence or any other liability that may not be excluded or limited as a matter of English law. |

8. Morodo has no obligation to support or maintain the Software. |
| |
9. This Licence shall be construed and enforced in accordance with, and the validity and performance hereof shall be governed by the laws of England. |

10. A person who is not a party to this Agreement has no right to enforce any term of this Agreement but this does not affect any right or remedy of a third party which exists or is available apart from the Contracts (Rights of Third Parties) Act 1999. |

11. Morodo may terminate this Agreement if you fail to comply with its terms, by written or electronic notice to you. On termination you must destroy or irrevocably delete all copies of the Software including any modified copies. |

12. Morodo reserves the right to modify the characteristics of the Software without prior notice. If the product evolves, your licence
does not give you the right to free upgrades. |
The use of the Software is subject to the specific Terms and Conditions of the MO-Call service.
